TERMS AND CONDITIONS OF THE ONLINE SHOP

§ 1 GENERAL PROVISIONS

  1. The online shop at www.fugo-group.com operates under the rules set forth in these Terms and Conditions.

  2. The Shop's offer is addressed exclusively to entrepreneurs (B2B).

  3. These Terms and Conditions define the conditions for concluding and terminating Product Sales Agreements, the complaint procedure, as well as the types and scope of services provided electronically by the Shop.

  4. Every Service Recipient, upon taking steps to use the Electronic Services of the Shop, is obliged to comply with the provisions of these Terms and Conditions.

  5. In matters not regulated by these Terms and Conditions, the provisions of Polish law shall apply (due to the Service Provider's registered seat), in particular the Civil Code and the Act on providing services by electronic means.

§ 2 DEFINITIONS

  1. CONTACT FORM – a form available on the website allowing messages to be sent to the Service Provider.

  2. REGISTRATION FORM – a form available on the website allowing the creation of an Account.

  3. ORDER FORM – a form available on the website allowing an Order to be placed.

  4. CUSTOMER – a Service Recipient who intends to conclude or has concluded a Sales Agreement with the Seller.

  5. ACCOUNT – a set of resources in the Service Provider's ICT system, identified by an individual name (login) and password, where the Service Recipient's data and information about placed Orders are collected.

  6. NEWSLETTER – an Electronic Service allowing the Service Recipient to subscribe to and receive free information from the Service Provider regarding the Shop and available Products at the provided e-mail address.

  7. PRODUCT – a movable item or service available in the Shop, which is the subject of the Sales Agreement between the Customer and the Seller.

  8. TERMS AND CONDITIONS – these regulations of the Shop.

  9. SELLER / SERVICE PROVIDER – FUGO GROUP spółka z o.o. (limited liability company), registered in Warsaw, Poland, address: ul. Modularna 11a/hala 2, 02-238 Warsaw, NIP (Tax ID): 5213847504, e-mail address: sales@fugo-group.com.

  10. SALES AGREEMENT – a Product Sales Agreement concluded between the Customer and the Seller via the Shop.

§ 3 PRODUCT INFORMATION AND ORDERING

  1. The shop www.fugo-group.com conducts wholesale sales of Products via the Internet.

  2. Products offered in the Shop are new, free from physical and legal defects, and have been legally introduced to the market.

  3. Information on the Shop's website does not constitute an offer within the meaning of the law, but an invitation to conclude a contract.

  4. Product prices are visible only after logging into the Account. Prices are provided in Polish Złoty (PLN) and/or Euro (EUR) and include VAT. The price does not include delivery costs, which are determined by the Seller after the Order is placed by the Customer.

  5. Orders can be placed through the website via the Order Form 24 hours a day, all year round.

  6. A condition for placing an Order is the registration of an Account and the acceptance of these Terms and Conditions at the time of placing the Order.

§ 4 CONCLUSION OF THE SALES AGREEMENT

  1. After placing an Order, the Seller immediately confirms its receipt via e-mail.

  2. The confirmation of receipt contains all essential elements of the Order and these Terms and Conditions.

  3. Following the Order, the Seller sends a proforma invoice to the Customer, which includes the total amount of the Order and the delivery costs.

  4. The Sales Agreement is concluded upon the Customer's payment of the proforma invoice.

  5. Every Sales Agreement will be confirmed by a proof of purchase (VAT invoice), sent electronically to the Customer.

§ 5 PAYMENT METHODS

  1. The Seller provides payment via bank transfer to the accounts indicated on the proforma invoice.

  2. The Customer is obliged to pay the price within the deadline specified in the proforma invoice.

  3. The Product will be shipped only after full payment has been received.

§ 6 COSTS, TIME, AND METHODS OF DELIVERY

  1. Delivery costs are determined by the Seller after the Order is placed.

  2. The Product preparation time is 1 to 2 business days from the moment the funds are credited based on the proforma invoice.

  3. Delivery by the carrier typically occurs within 1 to 2 business days from the moment of shipment (within the EU).

  4. Products are shipped worldwide via courier services.

  5. In the case of tobacco products, only personal pickup or delivery within Poland is permitted.

§ 7 RECLAMATIONS AND WARRANTY

  1. Products offered in the Shop are covered by the Seller's warranty. The duration depends on the Product category.

  2. Complaints regarding the warranty or liability for defects can be submitted via e-mail to: sales@fugo-group.com. The Seller will respond within 14 days.

§ 8 RIGHT OF WITHDRAWAL (FOR SOLE TRADERS WITH CONSUMER RIGHTS)

  1. Subject to § 10, a Customer who is a sole trader concluding a contract not related to their direct professional activity has the right to withdraw from the contract within 14 days without giving a reason.

  2. This right does not apply to sealed goods that cannot be returned for health or hygiene reasons if opened after delivery, or to perishable goods.

§ 9 PROVISIONS FOR ENTREPRENEURS (B2B)

  1. For pure B2B transactions, the risk of accidental loss or damage to the Product passes to the Customer the moment the Seller hands the Product to the carrier.

  2. The Seller is not liable for loss, damage, or delays caused by the courier service.

  3. The Customer is obliged to inspect the shipment upon receipt in the manner customary for such shipments.

§ 10 ENTREPRENEURS WITH CONSUMER RIGHTS

  1. This provision applies to individuals conducting a sole proprietorship, provided the Sales Agreement is not of a professional nature related to their specific business activity (verified by business activity codes/NACE).

  2. These individuals enjoy protection against prohibited contractual clauses and have the right to withdraw from distance contracts.

§ 11 INTELLECTUAL PROPERTY

  1. All content on www.fugo-group.com is protected by copyright and is the property of FUGO GROUP sp. z o.o. Any unauthorized use of the content is strictly prohibited.

§ 12 FINAL PROVISIONS

  1. Agreements concluded through the Shop are subject to Polish law.

  2. Any disputes shall first be resolved through amicable negotiations.

  3. For disputes with purely B2B customers (excluding § 10), the court of jurisdiction shall be the court competent for the Seller's registered seat.
